TRiiBE Creative – Terms of Service
1. Acceptance of Terms
These Terms of Service (“Terms”) govern all services provided by TRiiBE Creative (“we”, “our”, “us”).
These Terms apply to:
• Quotes and proposals
• Invoices and payments
• Consulting services
• Website, branding and design services
• Software setup, automation and integrations
• Digital products and deliverables
• Booking or attending appointments or strategy sessions
• Use of our website and communication platforms
By engaging TRiiBE Creative, accepting a quote, paying an invoice, or booking a consultation, you agree to these Terms.
2. Services
TRiiBE Creative provides professional services including but not limited to:
• Branding and graphic design
• Website and eCommerce development
• CRM, automation and system setups
• Software integrations
• Digital consulting and strategy
• Content and marketing asset design
• Training and implementation guidance
Each engagement is governed by the agreed proposal, quote or project scope (“Project Scope”).
3. Quotes & Scope of Work
Quotes are valid for 30 days unless otherwise stated.
All services are limited to the items specifically listed in the Project Scope.
Any additional services requested outside the agreed scope including:
• Additional features
• Additional pages or integrations
• Revisions beyond inclusions
• Additional consulting time
will be treated as a variation and quoted separately.
TRiiBE Creative reserves the right to decline out-of-scope work.

4. Deposits & Payment Terms
4.1 Deposit Requirement
Projects require a non-refundable deposit (typically 30–50%) before work commences unless otherwise agreed in writing.
4.2 Progress Payments
Projects may be invoiced in staged payments based on project milestones.

4.3 Final Payment & Asset Release
Final payment must be received before:
• Release of final files or deliverables
• Transfer of website ownership or access credentials
• Handover of system integrations
• Website launch or migration
• Removal of development access restrictions
TRiiBE Creative retains the right to disable or restrict access to work created until payment is received.

4.4 Payment Timeframes
Invoices must be paid within 3 business days unless otherwise stated.

4.5 Late Payments
Late payments may incur:
• Late fees of up to 2% per month
• Suspension of services
• Suspension of access to deliverables
• Debt recovery action if required

4.6 Project Timeframes & Client Responsibilities
Project timelines rely on client cooperation.
The client agrees to:
• Provide all required content, assets and logins promptly
• Provide approvals and feedback within agreed timeframes
• Ensure supplied information is accurate and lawful
If the client fails to provide required information within 14 days, project timelines may be extended.
Projects inactive for:
• 30 days may be paused
• 60 days may be cancelled and require re-quoting
TRiiBE Creative is not responsible for delays caused by client actions or third-party providers.

6. Revisions & Changes
Revisions are limited to those included within the Project Scope.
Additional revisions or design direction changes may incur additional fees.
Major redesigns or scope changes may require project re-quoting.

7. Consultation & Appointment Bookings
Clients may book consultations, strategy sessions, or training through TRiiBE Creative’s booking system.
7.1 Attendance & Rescheduling
• A minimum of 24 hours’ notice is required to reschedule appointments
• Late cancellations or missed appointments may be charged in full

7.2 Time Protection
Consultation time is reserved exclusively for each client. TRiiBE Creative reserves the right to:
• Charge for time exceeding booked sessions
• Refuse additional support outside booked sessions or support packages

7.3 Recording & Training Sessions
TRiiBE Creative may record training sessions for client reference unless otherwise requested.

8. Intellectual Property & Ownership
All preliminary designs, concepts, code, working files and drafts remain the property of TRiiBE Creative until full payment is received.
Upon final payment:
• Ownership of final approved deliverables transfers to the client
• TRiiBE Creative retains ownership of unused concepts and drafts
• TRiiBE Creative may display completed work in marketing and portfolios
Third-party elements remain subject to their licensing agreements.

9. Software, Platforms & Integrations
TRiiBE Creative may utilise third-party software and platforms including but not limited to:
• Website platforms
• CRM systems
• Automation tools
• Payment gateways
• Hosting providers
• Plugins and apps
The client acknowledges:
• Ongoing subscription and licensing costs are their responsibility
• Platform functionality is controlled by third-party providers
• TRiiBE Creative is not liable for outages, feature changes or pricing changes

10. Website & Technical Performance
TRiiBE Creative takes reasonable care to ensure websites and systems function correctly upon delivery.
However, ongoing performance depends on:
• Hosting providers
• Platform updates
• Plugin or software compatibility
• Third-party integrations
Ongoing maintenance and security are the client’s responsibility unless a maintenance agreement exists.

11. Client Content & Legal Responsibility
Clients must ensure all content supplied:
• Is owned or licensed by them
• Does not breach copyright or trademarks
• Complies with Australian laws and regulations
Clients indemnify TRiiBE Creative from claims arising from supplied content.

12. Digital Deliverables & Licensing
Clients are granted usage rights to final deliverables only.
Clients may not:
• Resell templates or digital assets
• Claim authorship of TRiiBE Creative work
• Distribute editable source files unless agreed
​
13. Cancellations & Refunds
Deposits and completed work payments are non-refundable.
If a project is cancelled:
• Work completed to date will be invoiced
• Outstanding invoices must be paid before asset release

14. Limitation of Liability
To the maximum extent permitted by Australian law, TRiiBE Creative is not liable for:
• Loss of revenue or business opportunity
• Website downtime
• Software or integration failures
• Data loss outside our control
• Indirect or consequential damages
TRiiBE Creative’s total liability is limited to the amount paid for services.
Nothing excludes rights under Australian Consumer Law.

15. Confidentiality
Both parties agree to keep confidential business and project information unless disclosure is required by law.

16. Force Majeure
TRiiBE Creative is not liable for delays caused by events beyond reasonable control including illness, natural disasters, technical outages or government restrictions.

17. Subcontractors
TRiiBE Creative may engage subcontractors or specialists to complete project components while remaining responsible for overall delivery.

18. Privacy & Data Handling
Client information is handled in accordance with TRiiBE Creative’s Privacy Policy.
